Richardson AI Solutions provides AI automation and business growth services for small and mid-sized businesses, including AI voice agents that answer, qualify, and book calls; business automation for lead capture, follow-up, and notifications; website design and optimization; AI operations consulting and setup; and growth and content services. Specific deliverables, timelines, and fees for any engagement are defined in a separate written agreement, proposal, or invoice. In the event of a conflict between these Terms and a signed service agreement, the service agreement controls for that engagement.
3. SMS Messaging Terms
Types of messages: You may receive appointment confirmations and reminders, replies to your inquiries, service and project updates, and (only if you separately opted in) occasional marketing or promotional messages.
Message frequency varies depending on your interaction with us. You will not receive recurring messages without your consent. Message and data rates may apply according to your mobile carrier plan. Richardson AI Solutions is not responsible for any charges from your carrier.
Opt-out: You can cancel SMS messages at any time by replying STOP to any message. After you send STOP, we will send one final message confirming your unsubscribe status. Carriers are not liable for delayed or undelivered messages. Consent to receive SMS is not a condition of purchasing any goods or services. 4. User Responsibilities
When using our site or services, you agree to provide accurate and complete information, maintain the confidentiality of any credentials created for your engagement, use the site and services only for lawful business purposes, obtain any consents required by law for data you provide to us about your own customers (including SMS consent for any messaging systems we build for you), and pay agreed fees on time. You are responsible for how you operate any automation, voice agent, or messaging system we deliver to you, including your own compliance with TCPA, A2P 10DLC, CAN-SPAM, and other applicable regulations.
5. Acceptable Use
You may not use our site or services to violate any law or regulation, including telemarketing and anti-spam laws; send unsolicited messages to individuals who have not consented; infringe the intellectual property or privacy rights of others; transmit malware or attempt to gain unauthorized access to our systems; misrepresent your identity or affiliation; or scrape, copy, or resell site content or our deliverables except as permitted in your service agreement. We may suspend or terminate access for violations of this section.
6. Intellectual Property
Our property: The site, its content, branding, and our pre-existing tools, templates, frameworks, and know-how are the property of Richardson AI Solutions. Nothing in these Terms transfers ownership of our pre-existing materials.
Your deliverables: Ownership of custom deliverables created for you (such as a website, automation workflows, or a configured voice agent) is defined in your service agreement. Unless stated otherwise, upon full payment you receive ownership of the custom deliverables built for your business, deployed in accounts you own, while we retain ownership of our underlying templates, methods, and reusable components. You retain ownership of content and data you provide to us.
7. Disclaimers
THE SITE AND SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee specific business results, revenue, lead volume, call answer rates, or rankings. AI systems, third-party platforms, and telecommunications networks may experience downtime, errors, or changes outside our control. We do not provide legal advice; you are responsible for your own regulatory compliance.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RICHARDSON AI SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS IF YOU HAVE NOT PAID US ANY FEES. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any dispute arising from these Terms or our services shall be resolved in the state or federal courts located in Wake County, North Carolina, and you consent to their jurisdiction. Before filing any claim, both parties agree to attempt good-faith resolution by contacting the other party directly.
